Dear Customer,

The following excerpt was received in a news bulletin from CP Rail in respect to the Labour Negotiations:

As you know, CP and two of its Unions – the Teamsters Canada Rail Conference – Train & Engine (TCRC) and the International Brotherhood of Electrical Workers (IBEW) – are currently working through the collective bargaining process. We understand the importance of railway service to you, our customers, and to other participants in the supply chain and thus wanted to take this opportunity to provide information and clarity on the current situation.

Despite CP’s best efforts, a significant gap remains between us and these unions. Talks are ongoing, and we remain optimistic that we can come to an agreement in the very near future. However, in the event an agreement cannot be reached, a work stoppage could occur as early as 0001 on Saturday, April 21, 2018.
In the attached Fact Sheet, you will find more detailed information, and below are the context we wish to share with you:
• CP CEO Keith Creel made labour outreach his first priority once he became CEO. Employee engagement, outreach and transparent communications have been integral to that effort.
• In order to avoid service disruption, and in an effort to ensure that CP can continue to provide reliable and cost effective railway service, CP has been and continues to be committed to fair, equitable and early bargaining, with both the TCRC and IBEW.
• Given the challenging winter, increased demand across commodities and struggles for others in the transportation supply chain, the environment is such that there is no latent capacity in the system and recovery from a work stoppage, of any length, will be prolonged.
• We had a successful 2017 with our Unions, negotiating a number of long-term pattern agreements ahead of expiry. These agreements centered on a common vision that was in the best interests of the entire CP family, our customers and our shareholders – it is this progressive model we are looking to replicate in 2018 and beyond.
• We have an obligation to pay all employees fairly and to ensure wages and other terms and conditions of employment are consistent across the Company – essentially, in fairness, we must make decisions that serve the interests of our 12,000 employees, not a select few.
During Conciliation in March, and after both Unions rejected all Company offers, both Unions stated that all of their demands must be addressed.

The Company provided both Unions with a written proposal to enter into Voluntary Mediation/Arbitration, to avoid a work stoppage and ultimately avoid a major service disruption to the economy. Both Unions advised they were not prepared to sign the Agreement that would avoid a work disruption.

Currently, further meetings with the TCRC and the IBEW are planned for the week of April 16, 2018 and CP will continue to bargain in good faith.

FACT SHEET
CP’s NETWORK AND IMPACT OF LABOUR DISRUPTION
• Canada’s freight railways move more than 900,000 tonnes of goods every day, 365 days a year—delivering essential products to customers across Canada and around the globe.
• On any given day, CP runs an average of 75,000 train miles, has more than 56,000 railcars online and averages approximately 400,000 revenue ton miles.
• A work stoppage by the TCRC and the IBEW will severely impact CP’s ability to continue to provide safe and efficient railway and passenger/commuter service. All customers and commodities will be impacted at a time when demand is soaring.
• Since a tough February as a result of extreme weather and other extraneous conditions, CP’s network has regained fluidity and the Canadian commodities the world depends on are getting to market safely and efficiently. A potential work stoppage of any duration at this time will set the entire supply chain – and subsequently the Canadian economy – back significantly, with long-term consequences.
CP’s LABOUR RELATIONS
• CP has reached long-term agreements with other Canadian Unions, including 3 that were successfully negotiated in 2017, all with the objective of ensuring continuity of reliable and cost-effective rail service, while being fair and equitable to CP’s employees. Specifically, CP adopted a “Pattern” framework to address issues tabled at bargaining and have successfully reached agreement through to 2022 with:
o TCRC – Maintenance of Way;
o United Steel Workers; and
o CP Police Association
• We continue to bargain in good faith with both the TCRC and IBEW. Despite our best efforts and commitment to fair, equitable and early bargaining, a significant gap remains.

TCRC
• There are approximately 3,000 conductors and engineers represented by the TCRC.
• CP’s CEO met with the TCRC early in June 2017, seven months in advance of the expiration of the current collective agreement. These meetings were positive and resulted in the successful negotiation of a one-year extension of the Collective Agreement on September 6, 2017.
• Unfortunately, in November, 2017 the TCRC Leadership advised the one-year extension of the Collective Agreement was not ratified by the membership. Because of the failure to ratify, bargaining with TCRC was immediately re-commenced.
• As part of our good faith efforts to work collectively with the TCRC Leadership, CP has also significantly curtailed its management conductor and locomotive engineer-training program.
• Since November 2017, there have been 8 meetings, consisting of 26 days, of negotiations with the assistance of the Federal Mediation Conciliation Services (FMCS).
• Despite CP’s best efforts to achieve an agreement with the TCRC, the Union still has 108 outstanding demands to our five, equivalent to more than a quarter billion dollars over three years, or an average increase of 24% a year over the three years to the TCRC payroll cost. CP’s five items relate to providing consistent customer service and achieving schedule predictability for the betterment of the Canadian economy and transportation supply chain.
• In an effort to avoid work stoppage and service disruption to the Canadian economy, CP provided the TCRC with an offer to enter into voluntary mediation/arbitration or final offer arbitration in March, 2018. To date, the TCRC has not accepted the proposal.
• The next meetings with the TCRC and Federal Mediators is currently scheduled for April 17, 2018.
IBEW
• Approximately 360 Signal Maintainers are represented by the IBEW. These employees protect the integrity of the railway signal system in addition to maintaining protection devices at crossings.
• Bargaining commenced in September, 2017.
• Despite CP’s best efforts, the IBEW still has 85 outstanding issues to our four, equivalent to an additional $27 million over three years, or an average increase of 25% a year over the three years. CP’s four items reflect collaboration, mutual benefit, safety, efficiency and quality of life.
• As with the TCRC, in an effort to avoid work stoppage and service disruption to the Canadian economy, CP provided the IBEW with an offer to enter into voluntary mediation/arbitration or final offer arbitration in March 2018. To date, the IBEW has not accepted the proposal.
• The next meeting with the IBEW and Federal Mediators is currently scheduled for April 18, 2018.

More than 20% of our revenues are re-invested back in the company through our capital expenditures. This year we will invest between $1.35B - $1.5B in improving safety, driving efficiency and providing even better service to our customers. We invest in hiring, training and retaining an effective and efficient work force to keep our trains running for our customers and the economy at large.
